Lambo Payment Policy

This payment policy (the "Payment Policy") governs the Transaction Management Services (as defined in the Lambo Terms) provided by Lambo to you, as an Online Streamer or/and Customer, depending on the context. These services facilitate payments not only for Stream Services but also for other Lambo Services. Capitalized terms (including the term "Lambo") used but not defined in this Payment Policy have the meanings ascribed to such terms in our Terms of Service (the "Lambo Terms").

1. Key Terms

"Commission" means the fee that Lambo charges an Online Streamer for the use of the Lambo Platform, which is calculated as a percentage of Net Revenue. The specific percentage is set forth in the Online Streamer's account settings or in this Payment Policy.

"Net Revenue" means all revenue actually received by Lambo from Customers for Stream Services provided by an Online Streamer, less any (a) fees and charges from third-party payment processors like Stripe; (b) taxes, refunds, chargebacks, and discounts; and (c) any other applicable credits or deductions as specified in this Payment Policy.

"Streaming Fees" means the amounts that are due and payable by a Customer for Stream Services provided by an Online Streamer. The Online Streamer alone, and not Lambo, is responsible for setting the amount of the Streaming Fees. Streaming Fees can be in the form of per-minute pricing ("Per-Minute Fees"), a fixed price for Stream Services ("Fixed Fees"), or a one-time fee for initiating a Paid Message.

"User Wallet" means the centralized account associated with every Member on the Lambo Platform. The User Wallet consists of two components:

"Online Streamer Wallet" is the term used for the Earnings Wallet component of the User Wallet. It reflects funds earned by Online Streamers, which can be withdrawn using supported Withdrawal Methods or transferred to the Balance Wallet.

"Payment Method" means any method or service available via the Lambo Platform and supported by integrated payment providers such as Stripe, enabling Customers to make payments for Stream Services.

"Withdrawal Method" means any method available via the Lambo Platform for Online Streamers to withdraw funds from their Online Streamer Wallet. These methods are provided by integrated payment providers such as Stripe and may include bank transfers or other supported options.

2. Contract Formation

Upon confirmation of Stream Services and the applicable price by both the Customer and the Online Streamer, such Customer and Online Streamer shall be considered as entering into a contract, pursuant to which the Customer agrees to purchase, and the Online Streamer agrees to deliver, the Stream Services (the "Streaming Service Contract").

For scheduled Stream Services (such as fixed-fee Streams), this confirmation includes the agreed-upon time. For instant Stream Services (such as per-minute Calls or live Streams), the contract is formed the moment the Customer initiates the service. For Paid Messages, the contract is formed at the moment the Customer completes the payment to initiate the conversation. Access to any Stream Service is granted to the Customer only if their Balance Wallet contains sufficient funds to cover the agreed price.

You agree not to enter into any contractual provisions that conflict with the Lambo Terms or other Lambo Policies. The Customer and Online Streamer each covenant and agree to act with good faith and fair dealing in performance of the Streaming Service Contract. Furthermore, the Customer and Online Streamer each acknowledge and agree that the value, reputation, and goodwill of the Lambo Platform depends on their performance of the foregoing covenants and agreements. The Customer and the Online Streamer therefore agree that Lambo has the right to take such actions with respect to the Streaming Service Contract, including without limitation suspension, termination, or legal actions, as Lambo in its sole discretion deems necessary to protect the value, reputation, and goodwill of the Lambo Platform.

3. Financial Terms for Customers

Please note that the payment models described in this section, such as per-minute fees, fixed fees for streams, and subscriptions, are available to Online Streamers and Customers only as and when they are made available on the Lambo Platform. Lambo reserves the right to introduce, modify, or discontinue any payment feature at its discretion.

For Customers, payments for Stream Services are facilitated through Stripe, which is integrated into the Lambo Platform. Before accessing or purchasing Stream Services, the Customer must first refill their Balance Wallet on the Lambo Platform using supported Payment Methods. Only after the Balance Wallet is sufficiently funded can the Customer make payments for Stream Services and gain access to them. At the time of purchasing Stream Services, the agreed amount is deducted from the Customer's Balance Wallet.

3.1 Payment Processing

To pay for Stream Services, Customers must first refill their Balance Wallet on the Lambo Platform using Payment Methods supported by Stripe. By refilling the Balance Wallet, the Customer authorizes Stripe to process the transaction and transfer the funds to Lambo's designated bank account.

Payments for Stream Services are deducted from the Customer's Balance Wallet and are credited to the Online Streamer Wallet after deducting Lambo's Commission. The net amount is immediately reflected in the Online Streamer Wallet, allowing the Online Streamer to view their earnings. However, these funds become available for withdrawal only after a mandatory holding period of 3 (three) days, which is required for security and compliance purposes.

3.2 Refunds on Authorized Payments

Authorized payments are generally final. Refunds may be available only in cases explicitly outlined in the Lambo Terms or other Lambo Policies. Refunds, when approved, will be credited back to the Customer's Balance Wallet.

3.3 Third Party Payment Method Fees

When making payments through Stripe or other supported Payment Methods, Customers may incur additional fees charged by the third-party provider. These fees are beyond Lambo's control, and Lambo disclaims all liability in this regard.

3.4 Per-Minute Fees

Streaming Fees are generally charged on a per-minute basis for real-time interactions, such as Calls, or for Streams where a per-minute pricing model is applied.

In accordance with the Lambo Terms, a Customer will be billed for the first minute of the service in advance, and for each subsequent minute thereafter. Billing stops when the Customer presses the button.

3.5 Fixed Fees

An Online Streamer can set Fixed Fees for a specific Stream, service or product, including Paid Messages.

3.5.1 Fixed Fees for the Streams

If an Online Streamer sets a Fixed Fee for a Stream, they must declare the date and time of the start of the Stream in advance. If the Customer purchases the right to view the Stream at a Fixed Fee, Per-Minute Fees do not apply.

If the Customer does not watch the Stream, no refund will be provided, unless explicitly stated otherwise in the Lambo Terms or other policies.

3.5.2 Fixed Fees for the subscription

The Customer may subscribe to a specific Online Streamer.

The subscription begins as soon as the order is processed and will automatically renew each month until canceled. The subscription fee is deducted from the Customer's Balance Wallet at the time of renewal. If there are insufficient funds, the subscription will be suspended.

3.6 Donation

The Customer has the opportunity to donate to a specific Online Streamer at their own discretion. Donations are voluntary, non-refundable, and are deducted from the Customer's Balance Wallet.

3.7 Feedback and Ratings on Streams

As a Customer, you may be asked to leave feedback and a rating for the Online Streamer. Leaving feedback is optional, but if you do so, you agree that your feedback must be genuine and will not violate the feedback system.

4. Financial Terms for Online Streamers

For Online Streamers, payments for Stream Services from Customers are facilitated through Stripe, which is integrated into the Lambo Platform. Lambo provides each Online Streamer with an Online Streamer Wallet, where payments for completed services are made available for withdrawal after a mandatory holding period of 3 (three) days.

To withdraw funds, Online Streamers must use a Withdrawal Method supported by Stripe. The amount available for withdrawal is the net amount after deducting Lambo's Commission and any applicable refunds or adjustments as specified in the Lambo Terms.

4.1 Cancellations of Streams

If a Stream with Fixed Fees is canceled, the Customer is entitled to a full refund of the amount paid, provided the cancellation meets the conditions specified in the Lambo Terms or other relevant policies. Refunds are processed by crediting the amount back to the Customer's Balance Wallet.

Online Streamers acknowledge that withdrawal of funds for a Stream that has not yet taken place is not permitted.

4.2 Lambo Commission

Lambo collects its Commission upon the successful completion of a Stream Service. For each successfully completed service, the Commission is calculated as a percentage of Net Revenue, as defined in the Lambo Terms. The Commission is deducted before the net amount is credited to the Online Streamer's Online Streamer Wallet.

The balance displayed in the Online Streamer Wallet reflects the full amount available to the Online Streamer after all applicable Commissions have been deducted.

In cases where refunds are issued to a Customer, no Commission will be charged to the Online Streamer for funds refunded back to the Customer.

4.3 No Circumvention of Commission

Online Streamers shall not engage in any action or activity meant to circumvent the Commission, with such actions or activities including, but not limited to, the following: (i) suggesting, soliciting, or accepting payment outside of the Lambo Platform, or by other means other than through the Transaction Management Services; or (ii) reporting or listing an inaccurate price for the Stream Services on the Lambo Platform, or charging a fee for the Stream Services that is different from the amount agreed between Customer and Online Streamer.

4.4 Withdrawal of Funds

Online Streamers can withdraw funds earned from any Stream Service using a Withdrawal Method supported by Stripe. Additional fees may be charged by the third-party provider of the chosen Withdrawal Method. These fees are beyond Lambo's control, and Lambo disclaims all liability in this regard. Online Streamers are encouraged to review the terms and conditions of the applicable Withdrawal Method before initiating a withdrawal.

Funds allocated to the Online Streamer Wallet become available for withdrawal after a mandatory holding period of 3 (three) days following the completion of the Stream Service. The Online Streamer is responsible for complying with all applicable export control and local regulations when withdrawing funds. Lambo shall not be liable for any restrictions, delays, or unsuccessful transactions caused by such regulations.

Lambo may provide assistance with compliance for export control or other legal requirements, such as supplying relevant documents, but assumes no liability for delays or unsuccessful outcomes related to these procedures.

The timing for processing withdrawal requests and receiving funds will depend on the processing times of Stripe and the chosen Withdrawal Method provider. Withdrawals may also be subject to a minimum balance requirement, and Online Streamers are encouraged to ensure their balance meets any such thresholds before initiating a withdrawal.

4.5 Withholding or Delaying Disbursement of Funds

Lambo reserves the right to delay or withhold the disbursement of funds allocated to an Online Streamer if Lambo determines that the Online Streamer's actions have resulted in, or may result in, a significant number of disputes, refunds, or other claims from Customers. Funds held during the mandatory holding period of 3 (three) days may also be used to process refunds to Customers.

If Lambo reasonably concludes, after conducting a review, that an Online Streamer has violated the Lambo Terms or other Lambo Policies, Lambo may refuse to disburse funds that remain under its control. If funds have already been disbursed, Lambo reserves the right to deduct the corresponding amount from future payouts to the Online Streamer.

Online Streamers will be notified of any decision to delay, withhold, or refuse disbursement, including the reasons for such action, and may provide supporting evidence or appeal the decision. These measures are implemented to protect the integrity of the Lambo Platform, its Customers, and other Members.

4.6 Payment restrictions

Payments and transactions on the Lambo Platform are facilitated through Stripe, which enforces compliance with all applicable international sanctions, legal requirements, and restrictions. As a result, certain payments or transactions may be restricted or canceled if they involve countries, regions, or individuals subject to these regulations.

Lambo relies on Stripe to process payments and ensure compliance with these restrictions. Members acknowledge that Stripe, as the payment provider, determines the applicability of such restrictions and may reject or cancel payments accordingly.

If a payment or transaction cannot be processed due to these restrictions, Members must provide alternative payment details that comply with the applicable regulations. If no alternative payment details are provided within 1 (one) year of Lambo's request, Lambo will be exempt from the obligation to transfer or pay the relevant funds and may dispose of them at its discretion.

5. Taxes

Online Streamers shall be solely responsible for determining their applicable tax related duties in connection with the income obtained from their Stream Services, and shall also be solely responsible for remitting to the relevant authority any applicable taxes that need to be paid. Lambo cannot and does not offer tax-related advice to any Members.

6. Financial Policies

6.1 Lambo Platform is not a Bank

Members acknowledge that Lambo is not a bank and does not provide banking services. Lambo acts solely as an intermediary and facilitator for payments processed through Stripe and other integrated payment providers. All funds associated with User Wallets are held in Lambo's designated bank account and are reflected in the respective User Wallets on the Lambo Platform for tracking and management purposes. These funds are not insured deposits and are subject to the policies and terms of the relevant payment providers.

6.2 Inactivity and Fund Management

Funds associated with inactive accounts remain held in Lambo's designated bank account. The balances in User Wallets reflect the amounts allocated to Members but remain under Lambo's control until a withdrawal is initiated. If an account remains inactive for a prolonged period, Lambo reserves the right to contact the Member to facilitate fund withdrawal or refund in accordance with applicable regulations. Members are encouraged to maintain accurate and up-to-date contact details to ensure timely communication.

6.3 Currency and Exchange Risks

Payments processed through Stripe may involve currency conversion if the Member's payment method is denominated in a currency other than USD. Lambo disclaims all liability for currency fluctuations that may occur during the transaction process. Members should review Stripe's policies or consult their payment provider for information on currency exchange rates.

6.4 Transaction Limitations

All payments and transactions on the Lambo Platform are managed through Lambo's system and facilitated by integrated payment providers such as Stripe. Funds reflected in the User Wallet may only be used for authorized transactions on the Lambo Platform, as outlined in the Lambo Terms and other applicable policies. Unauthorized use of funds is strictly prohibited.

7. Lambo's Rights Regarding Transactions and Funds

7.1 Security and Financial Fraud

As a security measure, Lambo may impose transaction limits on Customers and Online Streamers. These limits may apply to the value of a single transaction, cumulative transactions within a specific period, or the number of transactions allowed per day or other time frame. Such measures are implemented to prevent fraud or unauthorized activity and are enforced at Lambo's discretion.

Lambo reserves the right to void any transactions if they are found to be fraudulent, erroneous, or in violation of Lambo Terms or other policies. Funds associated with such transactions will remain under Lambo's control until the matter is resolved.

7.2 Reservation of Rights for Erroneous Transactions

Lambo reserves the right to seek reimbursement from any Online Streamer or Customer if erroneous or duplicate transactions are identified. This reimbursement may be obtained by:

Any adjustments to balances in User Wallets will be reflected promptly, and affected parties will be notified.

7.3 Prohibition on Friendly Fraud

"Friendly Fraud" occurs when a Customer disputes a legitimate payment with their payment provider, falsely claiming that they did not authorize the transaction. Such behavior is illegal and prohibited by Stripe and other payment providers.

If Lambo determines that Friendly Fraud has occurred, the Customer's access to the Lambo Platform will be revoked, and they may be flagged as a financial security risk. Funds associated with such disputes will remain under Lambo's control and will be managed in accordance with Lambo Terms and applicable legal requirements.

In the case of genuine errors or disputes, Lambo encourages Customers to contact its Customer Support team directly to resolve the matter amicably.

8. Prohibitions

In addition to complying with the restrictions regarding improper use of the Lambo Platform described in Section 10 (Restrictions) of the Lambo Terms, Members acknowledge and agree that they are solely responsible for compliance with all applicable laws, rules, regulations, and tax obligations in connection with their use of the Transaction Management Services. Members further agree that they will not:

Lambo reserves the right to investigate and prosecute violations of these prohibitions to the fullest extent permitted by law. In addition, as set forth in this Payment Policy, Lambo may take various actions, including but not limited to restricting access to the Member's Lambo Account or suspending their ability to use the Transaction Management Services, for violations of this Payment Policy.

9. Online Streamer - Customer Dispute

In the event of a disagreement between an Online Streamer and a Customer, Lambo encourages both parties to communicate directly to attempt to resolve the issue amicably. If a resolution cannot be reached and Lambo is asked to mediate, Lambo may request that both the Online Streamer and the Customer provide communication records and any other relevant information about the dispute, including time, date, and details of the interaction.

While Lambo will make efforts to evaluate the dispute impartially, Lambo retains the authority to make a final decision at its sole discretion. Lambo's resolution will be considered final with respect to actions taken on the Lambo Platform (such as issuing refunds or adjusting wallet balances), without prejudice to any rights the parties may have under the formal dispute resolution process outlined in the Lambo Terms.
